It appears unlikely that this IPO will materialize. The company is currently facing operational challenges, and Motilal Oswal has been unable to revive momentum. At this stage, a strategic sale to a buyer seems more probable—potentially at a heavily discounted valuation, possibly in the range of ₹5–7 per share.

Important Update on Lenskart Shareholding Structure
As of 31st March 2024, the outstanding shares of Lenskart are as follows:
Equity Shares: 7,70,92,624
Preference Shares (CCPS): 83,25,27,707
Subsequently, on 16th October 2024, Lenskart issued a bonus in the ratio of 9:1 only to equity shareholders, increasing the total equity shares to 77,09,26,240. No bonus was issued on CCPS.
Please note: The conversion ratio of CCPS to equity shares has not been disclosed publicly. This information will only be available once the DRHP (Draft Red Herring Prospectus) is filed. Hence, the final post-conversion equity share count remains uncertain.
The last known CCPS issuance was in 2023 at a price of ₹2,257/share, implying a ~₹30,000 crore valuation for the company at that time.
⚠️ Investor Caution: Be clear on what you are buying — Equity Shares or CCPS.
If Lenskart shares are being offered at ₹2,700/share, it is justified only if it's CCPS, given their preferential rights and eventual conversion terms.
