We act as an intermediary for communication
We execute transactions directly from our books
We hold funds or securities

3.2 What We Are not

UnlistedZone.com is not:

A SEBI-registered stock broker or trading platform
A recognized stock exchange
An investment advisor
A depository participant
A custodian of securities or funds

3.3 Transaction Process

Member registers and creates an account
Member searches for unlisted shares of interest
Member conducts due diligence
Member expresses interest via email/platform
UnlistedZone team attempts to find a counterparty (buyer/seller)
If match is found, both parties are connected via UnlistedZone

4. User Registration and Account

4.1 Account Creation

To access certain features, you must register for an account by providing:

Accurate and complete information
Valid contact details
Proof of identity (as required)
Financial information (as applicable)

4.2 Account Security

You are responsible for:

Maintaining confidentiality of your username and password
All activities conducted under your account

15. Governing Law and Jurisdiction

15.2 Exclusive Jurisdiction

Any disputes arising out of or relating to these terms or the website shall be subject to the exclusive jurisdiction of the courts in Ghaziabad, Uttar Pradesh, India.

You irrevocably submit to the jurisdiction of such courts.

15.3 Dispute Resolution Process

Step 1: Negotiation (15 days) Before initiating legal proceedings, parties agree to attempt good faith negotiations to resolve disputes.

In good faith with intent to resolve

Step 2: Arbitration (if negotiation fails) If negotiation fails, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

Number of Arbitrators: One (1) sole arbitrator
Appointment: Jointly appointed by both parties within 30 days
Failure to Appoint: If parties fail to agree, arbitrator appointed in accordance with the Act
Seat of Arbitration: Ghaziabad, Uttar Pradesh, India
Language: English
Arbitration Rules: Arbitration and Conciliation Act, 1996
Award: Final and binding on both parties

During arbitration: Both parties shall continue to exercise remaining rights and fulfill remaining obligations under these Terms of Use

Step 3: Legal Proceedings Only after exhausting the above steps may either party initiate legal proceedings in the courts of Ghaziabad, Uttar Pradesh, India.

15.4 Costs

Each party shall bear its own costs unless:

The arbitrator or court determines otherwise
The party acted frivolously or in bad faith

16. Miscellaneous Provisions

16.1 Entire Agreement

These Terms of Use, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and UnlistedZone.com regarding use of the Website, superseding any prior agreements.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable:

That provision shall be limited or eliminated to the minimum extent necessary
The remaining provisions shall remain in full force and effect
The invalid provision shall be replaced with a valid provision that achieves the original intent
