Navigating Success: Goa Shipyard Limited’s Record-Breaking Growth and Strategic Business Model in FY24

Goa Shipyard Limited (GSL) operates as a public sector undertaking under the Ministry of Defence, India. Its business model revolves around three core areas: ship construction, ship repairs, and general engineering services. Here's an overview of each aspect:

Ship Construction:

Primary Revenue Driver: Ship construction is the cornerstone of GSL's business, contributing approximately 91% of its turnover. The company designs and builds various vessels for the Indian Navy, Indian Coast Guard, and international clients.

Types of Vessels: GSL's portfolio includes Advanced Frigates, Offshore Patrol Vessels (OPVs), Fast Patrol Vessels (FPVs), and Pollution Control Vessels (PCVs). The company is known for its ability to deliver complex, technology-intensive ships that meet the stringent requirements of its defense and commercial clients.

Project Execution: GSL has a strong track record of executing multiple contracts simultaneously, often delivering ahead of schedule. For instance, in FY 2023-24, GSL launched the first Advanced Frigate, INS Triput, and made significant progress on other critical vessels.

Ship Repairs:

Supplemental Revenue Stream: Although ship repairs contribute a smaller portion of the overall revenue, this segment is crucial for maintaining relationships with the Indian Navy, Coast Guard, and commercial clients. In FY 2023-24, GSL completed refits of five vessels.

Growing Potential: The ship repair business is poised for growth as the Indian Navy and Coast Guard expand their fleets, increasing the demand for repair and maintenance services.

General Engineering Services (GES):

Diversification: GES is a vital part of GSL's operations, offering specialized engineering solutions related to shipbuilding and naval applications. In FY 2023-24, the GES vertical achieved significant milestones, such as delivering a Damage Control Simulator to the Indian Navy ahead of schedule and supplying specialized boats to the Indian Army.

Innovation and R&D: GSL is heavily invested in research and development, focusing on indigenization and technological advancements. The company is developing Autonomous Surface Vessels and has partnered with start-ups under the Indian government’s iDEX initiative.

Global Presence:

Expanding Reach: GSL is increasingly focusing on the export market. In FY 2023-24, it began constructing a Floating Dry Dock for the Sri Lanka Navy and secured global orders, including a contract to build a Next Generation Trailing Suction Hopper Dredger for Luxembourg-based Jan De Nul Group.
A) Introduction

Sterlite Power Transmission Ltd. (SPTL) is a key player in the power transmission and infrastructure sector, both in India and internationally. As FY24 concludes, Sterlite Power stands at a pivotal moment in its journey, marked by significant restructuring, a promising performance in its Global Products & Services (GPS) business, and challenges in its Infra business, particularly in Brazil. This detailed analysis delves into SPTL's performance across its business units, the impact of its demerger, and the company's future outlook.

B) Key Highlights

Demerger and Restructuring:

Approval by NCLT: SPTL's demerger has been approved by the National Company Law Tribunal (NCLT), leading to the formation of two distinct entities:

SGL-5 (Infra Co): This new entity will focus on SPTL's India-based infrastructure business, operating on a "Build & Hold-till-maturity" model. It will manage existing transmission projects and actively participate in upcoming bids.

Demerged SPTL (GPS Co): This entity will house the Global Products & Services (GPS) and Convergence businesses, concentrating on manufacturing, EPC services, and optical fibre solutions.

Shareholder Benefits: All SPTL shareholders will receive one share of SGL-5 for every SPTL share held as of the record date, aligning their interests with both the Infra and GPS businesses.

Record Order Book:

Impressive Backlog: SPTL closed FY24 with a total order book of ₹12,151 crore, driven by significant wins in the GPS segment, particularly in conductors and cables. This strong backlog sets the stage for future revenue generation.

C) Financial Performance (FY24) of Sterlite Power Unlisted Share

Total Income:

Substantial Growth: SPTL reported a 47.1% increase in total income, reaching ₹4,842 crore. However, it's important to note that this growth includes the Convergence business, which was not consolidated in previous years, making direct year-on-year comparisons challenging.

Profitability Concerns:

Infra Business Struggles: Despite the growth in income, profitability in the Infra business, particularly in India and Brazil, declined compared to FY23. Factors contributing to this decline include higher costs of goods sold (COGS), deferred revenue recognition, and increased finance costs.

Balance Sheet Metrics:

Net Worth Decline: SPTL's net worth decreased to ₹1,333 crore in FY24, primarily due to a consolidated net loss and a reduction in hedge reserves.

Rising Borrowings: Borrowings increased significantly to ₹6,739 crore, mainly due to debt incurred by the Brazilian Infra business.

D) Business Unit Performance

Global Products & Services (GPS):

Exceptional Growth: The GPS division emerged as a strong performer, achieving its highest-ever sales volume and in total income, reaching ₹4842 crore.

Strong Margins and Returns: The GPS business maintained an impressive EBITDA margin of 10.7%, with a Return on Capital Employed (ROCE) of 43% and Return on Equity (ROE) of 66%.

Positive Outlook: The company anticipates continued growth in the Indian conductor and cable markets. SPTL is investing ₹450 crore to increase conductor capacity and enter the solar and Extra High Voltage (EHV) cable segments, targeting a 30% revenue growth and 62% PAT growth by FY26.

Infra Business - India:

Mixed Performance: While revenue increased in FY24, the profitability of the Indian Infra business saw a significant decline, with a negative PAT of ₹259 crore.

Challenges: The profitability drop is attributed to higher COGS due to project delays, deferred revenue booking, and delayed realization of Change in Law (CIL) claims amounting to ₹516 crore.

Future Prospects: Despite these challenges, SPTL remains optimistic about the long-term potential of the Indian transmission sector. The formation of the SGL-32 joint venture (JV) with GIC reflects their commitment to leveraging upcoming opportunities in the Tariff-Based Competitive Bidding (TBCB) segment.

Infra Business - Brazil:

Underperformance: The Brazilian division faced significant hurdles in FY24, reporting lower revenue, a decline in EBITDA, and a substantial PAT loss of ₹370 crore.

Reasons for Decline: Slower execution of network projects and significantly higher finance costs (50% higher than FY23) were major factors impacting performance.

Strategic Review: SPTL is currently undertaking a strategic review of its Brazilian operations to determine the best course of action moving forward.

Convergence Business:

Steady Growth: Although specific financial details were not disclosed, the Convergence business continued its positive trajectory, generating a consistent free cash flow run rate of ₹100-125 crore annually. This trend is expected to continue over the next three years, underscoring its stable contribution to the overall business.

E) Future Outlook

Demerger Impact:

Unlocking Value: The demerger is expected to unlock significant value for shareholders by providing greater transparency and enabling investors to assess the distinct businesses separately.

Focused Strategy: The restructuring will allow SPTL to sharpen its focus on individual business units, enhancing operational efficiency and strategic direction.

Growth Opportunities:

GPS Division and Infra Growth: SPTL, particularly the GPS division and the newly formed SGL-5, are well-positioned to capitalize on the growing demand in the Indian power transmission and infrastructure sectors.

Market Prospects: The booming power sector in India, driven by increasing electricity demand and government initiatives, presents a fertile ground for SPTL's growth over the next 4-5 years.

Challenges and Risks:

Addressing Infra and Brazilian Challenges: The company needs to tackle the challenges faced by its Indian Infra and Brazilian businesses to improve profitability and ensure long-term sustainability.

Macroeconomic and Regulatory Risks: Macroeconomic factors and potential regulatory changes could pose risks to SPTL's future performance, requiring proactive management and strategic planning.

Valuation of GPS Business:

Revenue (FY24): ₹4,840 crore

PAT (FY24): ₹241 crore

PAT Margin: 5%

Comparable Company: APAR Industries

APAR's P/E: 50x

APAR's Market Cap: ₹41,000 crore

APAR's Revenue (FY24): ₹16,000 crore

APAR's PAT (FY24): ₹825 crore

APAR's PAT Margin: 5%

Estimated Valuation for Sterlite Power's GPS Business:

If we apply a conservative P/E multiple of 30x (less than APAR's 50x due to being unlisted and possibly facing higher risks), the valuation for the GPS business based on FY24 earnings would be:
GPS Business Market Cap= PAT×P/E= 241×30 = ₹7,230 crore

2. Valuation of Infra Business:

GIC Investment: $1 billion (~₹8,000 crore)

This valuation is based on the recent investment by GIC, which gives us a clear market-based valuation of the Infra business.

3. Combined Valuation:

Adding the conservative valuations of the GPS and Infra businesses:
Combined Valuation=₹7,230 crore(GPS Business)+₹8,000 crore(Infra Business)=₹15,230 crore

4. Upside Valuation:

Given the booming power sector in India and the growth prospects over the next 4-5 years, the actual valuation at the time of the IPO could be higher. If market sentiment is strong and growth expectations are high, a higher P/E multiple or additional value from future orders and profitability improvements could push the combined valuation beyond ₹16,000 crore.

Conclusion:

The conservative valuation for Sterlite Power, combining the GPS business and Infra business, stands at approximately ₹15,230 crore based on FY24 financials. However, considering the sector's growth potential and the strategic importance of both business units, the valuation at IPO time could be higher, potentially crossing ₹16,000 crore. This valuation reflects both the current financials and the future potential in a booming sector.

SEBI's Verdict on NSE Co-Location Case: A Detailed Analysis
Blog14 Sept 2024

SEBI's Verdict on NSE Co-Location Case: A Detailed Analysis

The Securities and Exchange Board of India (SEBI) recently issued a crucial order in the much-discussed "co-location" case involving the National Stock Exchange of India Limited (NSE) and several individuals. This case has been at the center of discussions within the financial and regulatory community due to its implications for market integrity and fairness. In this article, we will explore the background of the case, key arguments presented by various parties, and SEBI's final order, shedding light on one of the most significant regulatory decisions in recent times.

Background of the Case

The co-location case revolves around allegations that NSE, through its employees, provided preferential access to certain trading members (TMs) in its co-location facility, thereby giving them an unfair advantage in accessing market data. This unfair advantage was allegedly exploited through the TCP-IP based Tick-by-Tick (TBT) data feed architecture, particularly concerning access to primary and secondary servers.

The co-location facility allows traders to place their servers in close proximity to the exchange's trading servers, thus reducing latency in trading. While this setup is not inherently unfair, the concern in this case was that certain TMs were allegedly provided faster access to market data by consistently connecting to the less crowded secondary server, which could result in quicker trade executions and, therefore, an unfair trading advantage.

This order specifically addresses the issue of potential "connivance and collusion" between OPG Securities Private Limited (OPG) and its directors with NSE employees, a matter which the Securities Appellate Tribunal (SAT) had directed SEBI to reconsider in its order dated January 23, 2023.

Key Arguments and Findings

SEBI's Allegations:

SEBI alleged that NSE employees, through their actions or inaction, allowed OPG Securities to gain an unfair advantage by consistently connecting to the less crowded secondary server. This consistent access to faster market data was believed to have given OPG an edge over other trading members, thus violating the principles of fairness and equality in market access.

NSE's Defense:

NSE countered SEBI's allegations by arguing that they had issued warnings to OPG about connecting to the secondary server. NSE further emphasized that the issue of collusion had already been addressed and dismissed in previous proceedings. NSE also highlighted that during the period in question, multiple trading members (a total of 93) had accessed the secondary server, implying that the practice was not unique to OPG.

OPG's Defense:

OPG Securities maintained that they were not given any preferential treatment and that their actions were not part of any collusion with NSE employees. They pointed out instances where NSE had asked them to switch to the secondary server due to technical issues with the primary server, thereby challenging the narrative that they had gained an unfair advantage through intentional collusion.

SAT's Earlier Findings:

The Securities Appellate Tribunal, in its 2023 order, had confirmed that OPG gained an unfair advantage by consistently logging into the secondary server. However, it had also directed SEBI to reconsider the specific charge of collusion between OPG and NSE employees, indicating that the evidence presented was not conclusive enough to establish fraudulent or unfair practices.

SEBI's Final Order

No Sufficient Evidence of Collusion:

In its final order, SEBI acknowledged that NSE lacked a robust policy for the usage of its co-location facility and failed to effectively monitor access to the secondary server. However, despite these shortcomings, SEBI found no "sufficient material/evidence/objective facts" to establish collusion between OPG and NSE employees. This finding was crucial, as it meant that while there were procedural lapses on NSE's part, there was no conclusive evidence of a deliberate attempt to grant preferential access.

Consideration of Previous Proceedings:

SEBI took into account the fact that the issue of collusion had been previously examined in earlier proceedings, where no conclusive findings of fraudulent or unfair practices were made against NSE or its employees. SEBI's reliance on the lack of new evidence in the current proceedings further supported its decision to dispose of the case without any adverse directions against NSE or the named individuals.

Preponderance of Probability Standard:

SEBI applied the standard of "preponderance of probability," which is the threshold in civil proceedings. This standard requires that the evidence must show that it is more likely than not that the allegations are true. In this case, SEBI determined that the evidence did not meet this threshold, leading to the conclusion that the alleged collusion could not be proven.

Proceedings Disposed Of:

As a result, SEBI disposed of the proceedings against NSE and the individuals involved without issuing any further directions. This decision essentially clears NSE and its employees of the most serious charges of collusion, while still highlighting the need for better regulatory oversight and more stringent policies regarding the usage of co-location facilities.

Implications and Conclusion

The SEBI order in the NSE co-location case has significant implications for the Indian financial markets. While the decision to clear NSE and its employees of collusion charges provides some relief to the exchange, it also underscores the need for improved policies and oversight mechanisms to ensure that all trading members have equal access to market data. The case serves as a reminder of the importance of transparency, fairness, and integrity in financial markets, principles that are essential for maintaining investor confidence.

Moreover, this case has highlighted the critical role that regulators play in safeguarding market integrity. SEBI's thorough examination and final decision reflect the complexities involved in such high-stakes investigations, where the burden of proof must be balanced against the need to uphold market fairness.

As the Indian financial markets continue to evolve, the lessons learned from the NSE co-location case will likely influence future regulatory policies and the way exchanges operate their trading facilities. For now, SEBI's order marks the end of a significant chapter in Indian market regulation, with the hope that it will lead to a more transparent and equitable trading environment in the future.

Chennai Super Kings (CSK) Unlisted Share FY24 vs FY23: A Detailed Analysis

Introduction: The Growing Appeal of IPL for Investors

The Indian Premier League (IPL) has become a significant force in global sports, not just as a cricketing event but as a lucrative business opportunity. The league has caught the attention of global investors, including major conglomerates like Torrent, due to its massive viewership, robust revenue models, and consistent growth over the years. The IPL's appeal lies in its strategic combination of sports and entertainment, creating a product that is both marketable and profitable.

Why IPL is Gaining Popularity Among Investors

Investors are increasingly drawn to IPL franchises due to the high returns and the league's established brand value. The recent example of Torrent Pharmaceuticals showing interest in acquiring a stake in an IPL team highlights the growing attractiveness of these franchises as investment vehicles. Ahmedabad-based Torrent Group has reportedly reached an agreement with CVC Capital Partners to acquire a majority stake in the Indian Premier League (IPL) franchise Gujarat Titans. The deal, which is expected to be formalized after the ownership lock-in period ends in February 2025, is believed to value the IPL team at over $1 billion. This acquisition marks Torrent's entry into the sports industry, a significant move for the group.

The potential for revenue generation through various streams such as broadcasting rights, sponsorships, and merchandise sales makes IPL franchises a hot commodity.

Broadcasting Rights: The Golden Goose of IPL

The central revenue source for IPL teams is the income from broadcasting rights. For the 2023-2027 period, the broadcasting rights were sold for a staggering ~INR 50,000 crore. This amount is split equally between the Board of Control for Cricket in India (BCCI) and the 10 participating teams, ensuring a consistent inflow of approximately INR 500 crore per year for each franchise. For Chennai Super Kings (CSK), this has translated into a direct boost in their financial performance for FY24.

FY24 vs FY23: CSK's Financial Performance

Revenue Growth

The financial results for Chennai Super Kings (CSK) for FY24 paint a picture of significant growth when compared to FY23. The total revenue from operations for FY24 stood at ₹650.54 crores, a dramatic increase from ₹273.15 crores in FY23. This growth is largely attributed to the income from the grant of central rights, which surged to ₹479.21 crores in FY24 from ₹191.52 crores in FY23.

Income from Central Rights: The central rights income, fueled by the new broadcasting deal, saw a massive jump, contributing significantly to the overall revenue.

Sponsorship Income: Sponsorship income also increased to ₹95.47 crores from ₹77.75 crores in the previous year, reflecting the growing brand value of CSK.

Other Tournament-Related Income: Other tournament-related income grew to ₹75.85 crores in FY24 from just ₹3.87 crores in FY23, showcasing an expansion in revenue streams.

Major Expenses

CSK's primary expenses revolve around player acquisition and franchise fees:

Player Acquisition: The cost of acquiring players increased from ₹92 crores in FY23 to ₹144 crores in FY24, reflecting the franchise's investment in talent to maintain competitive performance.

Franchise Fees: Franchise fees saw a significant rise from ₹50 crores in FY23 to ₹112 crores in FY24, indicating the growing financial commitments associated with maintaining a top-tier team.

Profit After Tax (PAT)

The Profit After Tax (PAT) for CSK in FY24 was ₹229 crores, a significant increase from ₹52 crores in FY23. This substantial growth in profitability highlights the effective management and strategic investments made by the franchise.

Future Growth Prospects for CSK

While the income from broadcasting rights is fixed until FY27, CSK is actively pursuing other avenues to fuel growth. The franchise has expanded its global footprint by acquiring teams in international leagues and investing in cricket academies.

International Ventures: CSK has acquired the Joburg Super Kings franchise in South Africa's SA20 league and has also ventured into the Major League Cricket in the USA through Texas Super Kings International LLC. These international ventures not only diversify CSK's revenue streams but also enhance its brand visibility on a global scale.

Joburg Super Kings: The Joburg Super Kings finished as semi-finalists in Season 2 of the SA20, with total revenues increasing from ₹30.39 crores to ₹40.23 crores. Despite the operating loss of ₹26.22 crores, this venture holds long-term potential.

Texas Super Kings: Participating in the inaugural season of Major League Cricket, the Texas Super Kings also finished as semi-finalists. The team generated revenues of ₹1.17 crores with a profit of ₹0.22 crores.

Cricket Academies: CSK's cricket academies, operated under Superking Ventures Private Limited (SVPL), have also seen growth. SVPL's turnover doubled to ₹5.47 crores in FY24 from ₹2.56 crores in FY23. Although the academy recorded an operating loss of ₹1.61 crores, the expansion into new geographies and increased student enrollments signal a promising future.

Conclusion

Chennai Super Kings (CSK) has demonstrated robust financial growth in FY24, driven by increased revenue from broadcasting rights and strategic expansions into international markets and cricket academies. While the broadcasting deal secures a stable income stream until FY27, CSK's foray into global leagues and academies provides additional growth opportunities.

Investors eyeing the IPL and its franchises like CSK should consider the long-term potential of these ventures, especially with the brand value and diversified revenue streams that franchises are building. The ongoing expansion and strategic investments ensure that CSK remains not just a cricketing powerhouse but also a strong contender in the business of sports.

As the IPL continues to grow, both in terms of viewership and financial clout, franchises like CSK are well-positioned to capitalize on this momentum, offering promising returns for investors and stakeholders alike.

This robust growth is a clear indicator of the company’s strengthening market position.

Profit After Tax (PAT):

FY23: ₹4.83 Cr

FY24: ₹8.83 Cr

Growth: 82.79%

Analysis: The significant increase in PAT is due to efficient cost management despite rising operational expenses. This underscores the company’s ability to scale profitably.

Key Expense Analysis:

Infra Partner Expenses:

FY24: ₹14 Cr

FY23: ₹5.33 Cr

Growth: 162.75%

Analysis: The rise in Infra Partner expenses is consistent with the expansion of operations. However, it’s noteworthy that despite these higher costs, gross margins remained strong.

Employee Expenses:

FY24: ₹4.15 Cr

FY23: ₹2.85 Cr

Growth: 45.61%

Analysis: The increase in employee expenses aligns with the company’s growth trajectory and the need for additional human resources to support expanded operations.

Other Significant Expenses:

Legal and Marketing Expenses: ₹4.70 Cr

Analysis: These expenses likely contributed to brand strengthening and market penetration, essential for sustaining the company’s growth momentum.

Gross Margins:

FY24: ~56%

Analysis: A healthy gross margin indicates that despite the increase in costs, the company maintains strong pricing power and cost efficiency.

Cash Flow Analysis:

Operating Profit Before Working Capital:

FY24: ₹13 Cr

Trade Receivables:

FY24: ₹21 Cr

Impact: The large amount of funds tied up in trade receivables led to a negative Cash Flow from Operations (CFO) of ₹-3.33 Cr in FY24, down from a positive ₹9 Cr in FY23. This highlights a critical area where the company needs to improve cash management.

Capital Expenditures:

FY24: ₹7.44 Cr

Funding: The company raised ₹10.19 Cr through equity to support this investment.

Cash Position:

As of 31.03.2024: ₹1 Cr

Analysis: While the company has managed to fund its investments, the reduced cash reserves indicate a need for careful liquidity management.

Debt Situation:

Total Borrowings:

₹2 Cr

Equity: ₹30 Cr

Analysis: The debt level is manageable, especially against a strong equity base. This indicates financial stability with a conservative leverage approach.

Valuation:

Market Cap (Mcap):

₹480 Cr at a share price of ₹70

P/E Ratio:

54x

Analysis: The P/E ratio is on the higher side, suggesting that the market has high expectations for the company's future growth. However, this also implies that the stock may be overvalued, depending on how the company's growth trajectory materializes.

Compliance Red Flag:

Employee Compliance:

Despite having over 30 employees between AITMC and its subsidiary SPH Aviation as of 31.03.2024, the companies have not registered with the Employees' Provident Fund Organisation (EPFO). This is a compliance issue that could lead to regulatory scrutiny and penalties, which is a concern for potential investors.

Conclusion:

AITMC Ventures Limited has shown impressive growth in FY24, doubling its revenue and significantly improving its profitability. However, challenges remain in terms of cash flow management and compliance. The high P/E ratio reflects market optimism but also suggests that the stock could be overvalued. To sustain its growth and justify its valuation, AITMC needs to address its cash flow issues and ensure compliance with all regulatory requirements.

Lava International FY 2024: Navigating Revenue Declines, Profitability Challenges, and Strategic Reassessments

A) About Lava Unlisted Shares

Lava International Limited is primarily engaged in the business of designing, manufacturing, and distributing mobile phones, tablets, and communication equipment. The company's product portfolio includes a range of mobile devices, including feature phones, smartphones, and tablets, catering to various market segments from budget to mid-range consumers.

B) Business Analysis of FY 2024:

1. Revenue Performance: Lava's consolidated revenue from operations for FY 2024 was ₹3,646.05 crore, a significant decline of 25.63% compared to ₹4,902.65 crore in FY 2023.

2. EBITDA: Earnings before interest, tax, depreciation, and amortization (EBITDA) stood at ₹103.04 crore, a sharp decline from ₹251.33 crore in FY 2023.

3. Profit Before Tax (PBT): The PBT was ₹45.44 crore, down from ₹85.93 crore in the previous year, reflecting a decrease of approximately 47%.

4. Net Profit: The consolidated profit for the year (PAT) was ₹33.85 crore, a drastic drop from ₹75.24 crore in FY 2023.

5. Subsidiary Contributions: Lava has several subsidiaries, with varying degrees of financial performance. Some subsidiaries reported losses, which likely dragged down the overall consolidated results.

C) Emphasis of Matter: Acquisition of China Bird CentroAmerica (CBCA)

The auditors included an "Emphasis of Matter" paragraph in the audit report of Lava International Limited for the financial year ending March 31, 2024. This paragraph draws attention to the following key issue:

Acquisition of CBCA: The company acquired China Bird CentroAmerica (CBCA) in September 2021 through a share swap deal. As part of this acquisition, Lava issued 5% of its equity shares to the shareholders of CBCA, specifically Clipper Global S.A., which held 100% of CBCA's shares. In return, the shareholders of CBCA transferred 100% of CBCA's shares to Lava International Limited.

Non-Cooperation Issue: The auditors emphasized that there has been a development regarding the non-cooperation of CBCA's management with Lava International Limited. This issue has been brought to the attention of Lava's board, which has advised the company's management to enforce the agreement that was entered into as part of the acquisition.

D) Challenges faced in FY 2024:

1. Revenue Decline: Lava experienced a significant decline in its consolidated revenue, which dropped by 26%. This sharp decline indicates challenges in sustaining sales volumes and market share, possibly due to increased competition, market saturation, or shifts in consumer preferences.

2. Profitability Pressures: The company’s profitability took a substantial hit, with a marked decrease in both EBITDA and net profit. The reduced profitability could be attributed to higher operational costs, lower margins, and difficulties in maintaining pricing power in a competitive market.

3. Non-Cooperation from CBCA Management: One significant issue highlighted in the audit report’s "Emphasis of Matter" paragraph is the non-cooperation from the management of China Bird CentroAmerica (CBCA), a company acquired by Lava in 2021. This non-cooperation poses challenges in integrating CBCA into Lava’s operations and could have legal and financial implications if not resolved promptly.

4. Regulatory and Compliance Issues: The company faced delays in critical compliance activities, such as the late filing of the Annual Performance Report (APR) for FY 2023, required under the Foreign Exchange Management (Overseas Investment) Regulations. Additionally, there was a delay in holding the Annual General Meeting (AGM) within the prescribed statutory period. These delays indicate potential weaknesses in the company’s compliance and governance framework.

5. International Subsidiary Performance: Lava’s international subsidiaries, particularly those in challenging markets, underperformed during the year. This underperformance impacted the overall consolidated results, reflecting the difficulties in managing and scaling international operations amidst diverse regulatory environments and market conditions.

6. Market Dynamics and Competitive Pressures: Lava faced intense competition from both domestic and international players in the mobile phone and communication equipment market. The highly competitive landscape, coupled with rapidly changing technology and consumer preferences, added pressure on Lava to innovate and differentiate its products.

7. Board Changes: The company saw several changes in its board of directors, including the appointment and cessation of key personnel. This included a notable delay in filling the vacancy for a women director, which was addressed post the financial year.

Financials for FY 2024:

Particulars

FY 2024

Revenue

3,646 Cr

EBITDA

103.04 Cr

PAT

33.85 Cr

Mcap

2,597 Cr

P/E

76.72

In Summary, the FY 2024 annual report of Lava International Limited largely highlights the challenges the company faced, including significant revenue declines, reduced profitability, and compliance issues. While the company maintained a focus on innovation through R&D and continued its CSR efforts, these were overshadowed by the financial and operational difficulties of the year. The emphasis is on the need for strategic reassessment and operational improvements to navigate the competitive landscape and improve financial stability.

OYO’s Financial Turnaround in FY24: A Shift to Profitability

OYO’s Financial Turnaround in FY24: A Shift to Profitability

OYO, the Indian hospitality giant preparing for an IPO, turned profitable in the financial year 2023-24 (FY24) by streamlining its operations and cutting costs. The company posted a net profit of INR 229.5 Cr for FY24, a stark reversal from the net loss of INR 1,286.5 Cr reported in the previous year. Last month, OYO confirmed this shift to profitability.

Revenue Performance and Growth
Despite turning profitable, OYO’s operating revenue saw little change. The company's revenue from operations stood at INR 5,388.7 Cr in FY24, reflecting a slight decline of 1.3% compared to INR 5,463.9 Cr in FY23. While OYO’s hotel count grew to 18,103 by the end of FY24, up from 12,938 in the previous year, the company noted that new properties would take time to reach their full earning potential.

Total Revenue and Additional Income
Including other income, OYO’s total revenue dropped by 1%, from INR 5,601.7 Cr in FY23 to INR 5,541.5 Cr in FY24. Although the decline was marginal, it highlighted the company’s challenge in increasing top-line growth while focusing on profitability.

Cost-Cutting Measures and Expenditure
A significant reduction in OYO’s overall expenses was crucial to its profitability. The startup reduced its total expenditure by 16%, bringing it down to INR 5,725.7 Cr in FY24 from INR 6,799.6 Cr the previous year.

Lease Costs
Lease-related expenses made up the bulk of OYO’s spending, accounting for 46% of the total costs. These expenses, which included lease rentals and service leases, fell by 8%, from INR 2,843.3 Cr in FY23 to INR 2,629.5 Cr in FY24.

Employee Costs
OYO’s most significant cost-saving measure was cutting employee-related expenses. The company reduced its employee costs by 52%, from INR 1,548.8 Cr in FY23 to INR 744.3 Cr in FY24. This reduction was mainly driven by a steep 71.3% drop in employee share-based payments, which fell to INR 180.6 Cr in FY24 from INR 630.3 Cr the previous year.

Finance Costs
Contrary to other cost reductions, OYO’s finance costs increased by 24% during the year, rising from INR 681.5 Cr in FY23 to INR 843.8 Cr in FY24. The rise in finance expenses reflects the company’s increased financial obligations.

Future Profitability Targets
OYO’s founder and CEO, Ritesh Agarwal, recently shared that the company is aiming to triple its profit after tax (PAT) to INR 700 Cr by FY25. The company is positioning itself for sustained growth and profitability as it eyes a public listing.

Recent Fundraising and Valuation Decline
In recent months, OYO raised INR 1,457 Cr (around $175 Mn) in a down round led by Singapore-based Patient Capital, a firm floated by Agarwal, along with J&A Partners and ASK Financial Holdings. This round of funding lowered OYO’s valuation to $2.37 Bn, down from its peak valuation of $10 Bn in 2019. This fundraising also included INR 417 Cr raised in July from InCred.

IPO Delays and Future Prospects
Although OYO has long been preparing for an IPO, its public listing has been delayed multiple times. Sources suggest that the IPO timeline may be further pushed back as the company awaits refinancing terms for the $660 Mn Term Loan B, which was used by Agarwal in 2019 to repurchase shares from investors.

Founded in 2012 by Ritesh Agarwal, OYO has grown into a global hospitality brand, offering over 40 products and services across more than 157,000 hotel and home storefronts in over 35 countries. As it navigates the complexities of a public listing and fluctuating financial circumstances, the company remains focused on increasing profitability and scaling its operations.

Comprehensive Report on PharmEasy's FY24 Financial Performance

Comprehensive Report on PharmEasy's FY24 Financial Performance

Comprehensive Report on PharmEasy's FY24 Financial Performance

Introduction

PharmEasy, a leading digital healthcare platform in India, has made significant strides in optimizing its operations and focusing on higher-margin segments. The fiscal year 2024 (FY24) has been a challenging yet transformative year for the company. This report provides a detailed analysis of PharmEasy's business model, financial performance, including a comparison between FY24 and FY23, and concludes with insights into the company's future outlook.

1. Business Model of PharmEasy

PharmEasy operates as an integrated healthcare platform, providing a wide range of products and services that cater to the diverse needs of consumers, healthcare providers, and institutions. The company's business model can be broadly categorized into two segments:

Sale of Products: This segment forms the backbone of PharmEasy's operations, contributing the majority of the company's revenue. The products include pharmaceuticals, OTC medicines, surgical supplies, consumables, and private label items. These products are distributed through various channels, including retailers, chemists, institutions, and hospitals, leveraging technology platforms such as PharmEasy and Retailio. The company has focused on improving unit economics by targeting higher-margin customers and optimizing marketing and sales efforts.

Sale of Services: This segment includes diagnostic services offered primarily through Thyrocare, one of India’s leading diagnostics companies. Thyrocare provides a comprehensive portfolio of tests and services across the country, catering to franchise partners, consumers, hospitals, and independent phlebotomists. Other services in this segment include technology and software solutions designed to enhance the operational efficiency of pharmacies and healthcare providers.

2. FY24 vs FY23: Products vs Services Sales Figures

Revenue from Sale of Products:

Fiscal 2024: INR 5007 Cr

Fiscal 2023: INR 5945 Cr

Breakdown of Product Revenue in FY24:

Distribution to Retailers: INR 872 Cr (15.4% of consolidated revenue)

Distribution to Chemists and Institutions: INR 3188 Cr (56.3% of consolidated revenue)

Distribution to Hospitals: INR 940 Cr (16.6% of consolidated revenue)

Revenue from Sale of Services:

Fiscal 2024: INR 656 Cr

Fiscal 2023: Estimated at INR 698 Cr

Key Highlights:

The overall revenue from the sale of products witnessed a decline, primarily due to the company’s strategic focus on higher-margin customers and optimizing existing resources.

Despite the decline in overall revenue, the diagnostic services segment, particularly under Thyrocare, showed resilience and moderate growth, driven by an expansion in the portfolio of tests and an increase in the franchise network.

3. Reasons for Revenue Decline in Pharmeasy Unlisted Shrare in FY24 vs FY23

PharmEasy's revenue from operations decreased by 14.7% in FY24, amounting to INR 5664 Cr compared to INR 6643 Cr in FY23. The decline was primarily driven by the following factors:

Focus on Higher-Margin Customers: The company deliberately scaled back on lower-margin customers, which, although impacting overall revenue, improved profitability metrics. This strategic shift was especially evident in the hospital and institutional segments.

Optimization of New Customer Growth: On the PharmEasy platform, there was a reduction in marketing spends aimed at acquiring new customers. Instead, the focus shifted towards increasing the average order value and enhancing unit economics.

Challenges in Working Capital Management: The sales to chemists and institutions faced constraints due to working capital issues, which were later resolved through a rights issue. However, this temporary constraint affected revenue in FY24.

4. Significant Improvement in Pharmeasy EBITDA

PharmEasy’s EBITDA before exceptional items and ESOP expenses improved significantly in FY24 to -INR 424.8 crore from -INR 797.3 crore in FY23. This 47% reduction in negative EBITDA was a result of strategic cost optimization across various operational areas:

Reduction in Employee Benefit Expenses: The company implemented significant operational optimizations, including the centralization of teams, closure of non-profitable warehouses, and the discontinuation of non-strategic, low-margin initiatives.

Sales and Marketing Optimization: Marketing expenses were drastically reduced, from 3.5% of revenue in FY23 to 0.4% in FY24. This was achieved by focusing on high lifetime value customers and leveraging more efficient marketing channels, particularly for the PharmEasy platform.

Other Cost Optimizations: Legal, professional, IT, and other operational costs were also reduced, contributing to the overall improvement in EBITDA. The focus was on eliminating non-essential expenses and streamlining operations to enhance profitability.

5. Overview of Profit and Loss Statement

The Profit and Loss statement for FY24 reflects a significant reduction in losses compared to FY23:

Loss Before Exceptional Items and Tax: Reduced from INR 2274 Cr in FY23 to INR 1494 Cr in FY24.

Loss for the Year: Reduced from INR 5211 Cr in FY23 to INR 2533 Cr in FY24.

This reduction in losses is indicative of the company’s success in implementing cost-saving measures and focusing on more profitable segments. The improvement in operational efficiency is a positive sign for future financial stability.

6. Balance Sheet Analysis of Pharmeasy Unlisted Share

As of March 31, 2024, PharmEasy’s balance sheet presents the following key figures:

Total Debt (Long-Term and Short-Term): INR 4,100 crore

Outstanding Dues to Micro and Small Enterprises: INR 32 crore

Outstanding Dues to Other Enterprises: INR 380 crore

Total Current Liabilities: INR 3,502 crore

Current Assets: Approx. INR 3,400 crore (Trade Receivables: INR 706 crore, Cash in Hand: INR 1,700 crore, and Inventory: INR 555 crore)

The current ratio (Current Assets to Current Liabilities) is less than 1, indicating higher short-term liabilities compared to current assets. However, it is important to note that PharmEasy conducted a rights issue in September 2023, successfully raising INR 3,500 crore. Out of this, INR 2,000 crore was received before March 31, 2024, and the remaining INR 1,500 crore was received in April 2024.

With the additional INR 1,500 crore infusion in April 2024, the company’s liquidity position is expected to improve significantly, allowing PharmEasy to better manage its short-term liabilities. This capital influx will not only enhance the company's ability to meet its current obligations but also provide the necessary financial flexibility to pursue strategic initiatives aimed at long-term growth and profitability.

The strengthened balance sheet post-rights issue reflects PharmEasy's proactive approach in addressing its liquidity needs and preparing for future financial stability.

Conclusion

PharmEasy’s performance in FY24 reflects a strategic pivot towards sustainability and profitability. The company’s revenue has declined due to its deliberate focus on higher-margin customers and the optimization of resources. However, this strategy has led to a significant improvement in EBITDA and a reduction in overall losses. The balance sheet, while currently indicating a liquidity strain, is expected to stabilize with the infusion of funds from the recent rights issue.

Moving forward, PharmEasy is well-positioned to leverage its strengthened financial position to focus on growth opportunities in high-margin segments, further enhancing its operational efficiency and profitability. The continued focus on technological innovation and customer-centric services will be crucial in maintaining the company’s leadership position in the digital healthcare space.

HDB Financial Services Selects Cyril Amarchand Mangaldas, Jefferies, JM Financial, Morgan Stanley, and Nomura for IPO

HDB Financial Services, a subsidiary of banking giant HDFC Bank, has initiated preparations for its upcoming initial public offering (IPO). The company has brought on board four prominent investment banks—Jefferies, JM Financial, Morgan Stanley, and Nomura—to serve as advisors for the public offering, according to insider sources who spoke to Moneycontrol under anonymity.

The formal process commenced recently, and additional investment banks may be engaged as the IPO progresses, according to one of the sources familiar with the matter. Two other individuals confirmed these developments. In terms of legal counsel, Cyril Amarchand Mangaldas has been selected to represent HDB Financial Services.

Early Stages of IPO Planning

During the kick-off meeting, the advisory team, including the banks and the company’s leadership, outlined the roadmap and strategic plans for the IPO. Responsibilities and roles were also discussed to ensure seamless execution.

While the exact valuation and IPO size are yet to be determined, initial estimates suggest that the issue could exceed a billion dollars, depending on how much HDFC Bank chooses to dilute its stake in HDB Financial Services, according to another person involved in the discussions. Official responses from HDFC Bank, HDB Financial Services, and the investment banks involved were unavailable at the time of writing, with both Nomura and Jefferies opting not to comment.

Regulatory Requirement Driving the IPO

Moneycontrol first reported on September 4, 2024, that HDB Financial Services was in the process of finalizing bankers for the IPO, with plans for listing by March 2025. This IPO is not just strategic but also mandatory. As an "Upper Layer" Non-Banking Financial Company (NBFC) under a directive from the Reserve Bank of India (RBI) in October 2022, HDB Financial Services must go public by September 2025. This listing rule applies to all Upper Layer NBFCs, including Bajaj Housing Finance, which is also planning an IPO soon.

HDFC Bank's Approval and Market Strategy

On July 20, 2024, HDFC Bank’s board of directors gave in-principle approval for the listing of HDB Financial Services. A committee was also established to take the necessary steps toward listing. In parallel, there had been talks of Japan’s Mitsubishi UFJ Financial Group (MUFG) potentially acquiring a minority stake in HDB Financial Services before the IPO, but those discussions were eventually called off.

HDB Financial Services' Market Position

HDFC Bank holds a 94.64% stake in HDB Financial Services, which operates across two key business areas—lending and business process outsourcing (BPO). The firm boasts an extensive network, with over 1,680 branches across 27 states and 4 union territories. According to its 2023-24 annual report, HDB Financial Services generated revenues of ₹14,171 crore, with a profit after tax of ₹2,461 crore, and assets under management amounting to ₹90,235 crore.
