Analysis of FY19-20 performance of Tata Technology Unlisted Shares - 02.07.2020

Tata Technologies is headquartered in Singapore, with regional headquarters in the United States (Novi, Michigan), India (Pune) and the UK (Warwick) with a combined global workforce of more than 8,500 employees serving clients worldwide from facilities in North America, Europe, and the Asia-Pacific region. Let us analyze how Tata Technology has performed in FY19-20. <span style="font-size: 14pt;"><strong>FY19-20 Business Analysis</strong></span> <strong>1.</strong> FY19-20 was quite challenging for Tata Technology. Falling vehicle sales and push towards ACES( Autonomous, Connected, and Electric Shared) has pushed clients of Tata Technology to reduce costs. We know 80% of Tata Technology revenue comes from the global automotive sector, the problem in that sector has impacted the overall growth of the company. <strong>2.</strong> However, despite the problems, Tata Technology has earned a revenue of 2852 Cr in FY20, a tad lower as compared to last year where they earned 2984 Cr. The company has made operating margins of 16% in FY20. EPS of FY19-20 stands at 60 per share. <strong>3.</strong> As per management commentary, Tata Technology has seen revenue growth of 4.4% and operating profit growth of 32% QoQ basis in the last quarter of FY20. This has achieved due to the operational efficiency program that resulted in saving ~100 Cr in FY19-20. <strong>4.</strong> In FY19-20, Tata Technology has participated in the Electric Vehicle event in China to showcase its product called EVMV( Electric Vehicle Modular Platform). This product helps OEMs of EV to reduce costs in manufacturing. <strong>5.</strong> Tata Technology partners with PTC to provide smart manufacturing and digital solutions to manufacturing industries worldwide. So they are focussing more revenue contributions from the digital segment going forward. <strong><span style="font-size: 14pt;">Future Planning</span></strong> <strong>1.</strong> Tata Technology is looking to align its business portfolio with new markets and opportunities. They are doing investment in embedded electronics, digital, and software segments. <strong>2.</strong> Last year they build the project called Autostar (Automotive Open System Architecture) for a major tier-1 automotive supplier. 20% of service business revenue comes from Digital now. <strong>3.</strong> Tata Technology is looking to diversify its client base to grow in adverse situations. UTI AMC got approval from SEBI - 22.06.2020

As per information sourced from Economic Times, UTI AMC got the approval from SEBI to bring 3000 cr IPO. The approval of the IPO was pending for long due to some observation found by SEBI in the DRHP. <!--more--> State Bank of India, LIC, Bank of Baroda, and PNB hold 18.24% shares each and T Rowe Price holds 26% as on 31.03.2019, in UTI AMC. As of 31.07.2019, the total AUM of UTI AMC was 1.60 Lakh Cr. The IPO will be total OFS wherein, State Bank of India (SBI), Life Insurance Corporation (LIC), and Bank of Baroda are offering to sell 1,04,59,949 shares each, while Punjab National Bank (PNB) and T Rowe Price International are planning to offload 38,03,617 shares each. <span style="font-size: 14pt;"><strong>Why is UTI AMC bringing IPO?</strong></span> If you see the business model of AMC, they actually don't require much money to run their day to day operation unlike any other company. So why they are coming with an IPO. The answer is the regulatory issue. As per SEBI regulation, the SBI, LIC, BOB, and PNB all run their mutual fund businesses. If any entity is running a mutual fund business, then it can't have more than 10% holding in any other mutual fund company. UTI AMC being a mutual fund company in itself, so all these stakeholders have to reduce their holding. <span style="font-size: 14pt;"><strong>Current UTI AMC Valuation in Unlisted Market</strong></span> The current market price of UTI AMC is 975 in the unlisted market. Steel, diamond, paddy, rubber trades on ICEX under scanner - 16.06.2020

The board of Indian Commodity Exchange (ICEX), in consultation with Sebi, has appointed a forensic auditor to probe the alleged misuse of a market-making scheme run by the bourse to increase liquidity in derivatives contracts of steel, paddy, diamond, and rubber since October last year. The scheme stands suspended as of now. <!--more--> The audit has been mandated on the basis of two anonymous email complaints received by the public interest directors of the ICEX board and the Securities and Exchange Board of India (Sebi) in March-April this year. The complaints allege that certain key management personnel (KMP) of ICEX in collusion with the market makers misappropriated funds allotted for the so-called liquidity enhancement scheme (LES). The forensic audit will be undertaken by Chokshi &amp; Chokshi LLP and the terms of reference include the misuse of LES; whether board members were in sync with the KMP; examining trading data from September 2020 onwards in contracts like steel, paddy, etc.; compliance issues and conflict of interest of KMP, among others. Senior partners of Chokshi &amp; Chokshi were not available for comment. The audit will lay bare the facts and establish the veracity of the complaints, which are not of the whistle-blower type. Sanjit Prasad, CEO of ICEX, was not available for comment. He has been asked to proceed on leave by the board until after the audit findings are released. The findings are likely to be out by July. On the allegation of “truck” between the KMP and market makers, a person in the know said that one market maker was incentivized for providing two-way quotes in each of the four commodities and that the entire process for LES was undertaken in consultation with the board, as per Sebi norms. “The public interest directors were apprised of the payout being done each month to the market makers under the LES. The payout was audited by an independent auditor,” he claimed. ICEX’s CEO Prasad, who earlier worked with MCX and MCX-SX (now MSEI) at a senior level, joined the bourse in August 2018. The key shareholders of ICEX, which began operations in September 2017 after a three-year hiatus, are Reliance Exchangenext and Indiabulls Housing Finance who between them hold around 24% equity of the stock exchange. Nazara buys further stakes in Halaplay - 16.06.2020

As per information received from Nazara Technology management, they have put an additional 14.5 Cr in Halaplay, a fantasy gaming company. It has bought these stakes worth Rs. 14.5 Cr from Kae Capital. This is not a cash deal but in the form of a swap of equity shares. With this deal, Nazara Technology will become the majority shareholder in the company. <!--more--> <span style="font-size: 14pt;"><strong>What is a swap of equity shares?</strong></span> This type of deal is ideal in case the company doesn't want to put direct money for buying stakes instead gives its equity shares. <strong>Example</strong> Let us suppose the total valuation of Nazara Tech is Rs.100 and Halaplay is Rs.50. Now Nazara tech wants to acquire 100% stakes in the Halaplay. They have the following two options: <strong>1</strong>. Pay Rs. 50 and acquire 100% stakes. <strong>2.</strong> Swap its equity shares in the ratio of 1:2 with Halaplay shareholders. The ratio is 1:2 has arrived because Nazara Tech is valued 2x as compared to Halaplay. Nazara chooses the second option. After this deal, Halaplay shareholders will get equity shares of Nazara Technology. <span style="font-size: 14pt;"><strong>Other investments in Halaplay?</strong></span> In 2017, Nazara Technology had invested first time in Halaplay. The funding round also saw participation from Bengaluru-based PE fund, Amicus Capital Private Equity, and Amicus Capital Partners India Fund, which had invested <span class="webrupee">₹</span>38 crores in June and <span class="webrupee">₹</span>5 crores, respectively, taking the total fundraising of the lender to <span class="webrupee">₹</span>134 crores. Paytm is foraying into Credit business - 11.06.2020

The world of unsecured lending has received a jolt due to COVID-19. Most of the companies are struggling to keep up the revenue due to low demand in the market. The low demand and falling revenue have forced companies to retort to the sacking of employees to cut down the expenses.<!--more--> This has put an overcast over the prospect of lending companies as to whether they will able to recover interest and the principal of loans from these employees. The answer to this question will become clear once the 6 months of moratorium gets over.  This has made lending companies shying away in giving credit at this present time due to stress in the various consumer sector. In the meanwhile, we heard in the streets that <strong>Paytm</strong> is looking to foray into giving small credits to buyers for the purchase of grocery and retail goods. Paytm has tied up with Clix Capital and Arthimpact for loan disbursement. The credit could be up to 1 lakh for esteem customer. The facility will be initially open for most active Paytm users. The past usage data of the client will help Paytm in assigning different credit. Paytm has tied up with thousands of neighbors store owners, and retail outlets to deliver the items on a credit basis. <span style="font-size: 14pt;"><strong>UnlistedZone Takeaway</strong></span> The Paytm over the years has faced extreme competition from Google Pay, and Phone Pay in payment apps categories. The UPI introduced in 2017 has completely removed wallet concept of Paytm from the scene. Google Pay and Phone Pay have used UPI in their favor and have earned big market share. Paytm late entry in UPI has made it a laggard in gaining the market share. We all know the credit card business is having an excellent model and if this becomes a hit for Paytm, the lost glory can be achieved again. However, the path would not be so easy, the Watspp Payment app which can hit India anytime would be a huge hurdle for Paytm. Watsapp through FB has already tied up with Reliance Retail to order grocery from the app and they will also give credit similar to what Paytm is looking into. So. next 1-2 years would be make and break for Paytm and for its investors. Can management prowess of Vijay Shekhar able to compete with likes of Walmart, Google and FB would be an interesting battle to watch out.

Now question is, whether Reliance Retail is worth buying at 4.75 lakh cr of value? Let us check out! The best indicator to value the retail business is to calculate <strong>EV/EBITDA</strong> and then compare it with the peers in the listed space to know the real value. Therefore, we can conclude that the Reliance Retail is fully valued at the current market price of 950. <strong>The fair value for investment is somewhere around 700-750, where we will get valuation comfort and margin of safety, both.</strong> <span style="font-size: 14pt;"><strong>Religare Health Insurance</strong></span> The health insurance businesses are valued by comparing the market cap of the company with Gross Written Premium (GWP). <span style="text-decoration: underline;"><strong>Last year HDFC ERGO bought 49% stakes in Apollo Munich at 1347 cr and had given a value multiple of 1.2 times the gross written premium of FY19.</strong></span> Therefore, in the Insurance business, the value multiple below 2 is considered as fair value. The Religare Health Insurance in the first 3 quarters of FY20 has collected a GWP of ~1700 cr and we are expecting an annual GWP of ~2000 Cr. On the basis of HDFC ERGO and Munich deal, the Religare Health Insurance may get valuation around 3000-3500 cr. As of 31.03.2019, the paid-up equity of Religare Health Insurance stands at 688.54 Cr. <strong>The fair value per share would be somewhere around 45-50</strong>.
